Agreement and business use
These Terms are an agreement between Bifro Tech Inc., Corporation No. 1800016-6, a federally incorporated Canadian company (“Bifro”, “we”, “us”), and the business or organization purchasing or using the website, materials or services (“Customer”, “you”). By purchasing or using an offer, you confirm that you can bind the Customer and will use it for lawful business purposes.
The four launch offers
- Open Source — Free: public source covered by its repository licences and notices. You are responsible for assembly, configuration, deployment, migration, testing and support.
- Implementation Guide — $97 CAD: the complete PDF guide only. It does not include a prepared Google Sheet, implementation labour or implementation support unless separately stated.
- Vault — $497 CAD: a one-time digital delivery containing the copy-ready starting point and focused instructions, plus 30 days of email support for implementation issues. No calls or ongoing Bifro labour are included.
- Full-Service Go-Live — $2,497 CAD launch price: standard configuration, deployment, agreed data import, testing and handoff within the written scope. It includes 60 days of support for major bugs in the standard code or something in that code that stops working. Custom integrations, bespoke workflows, extensive data cleanup and indefinite support are separate.
Full-Service's stated regular price is $4,994 CAD. The $2,497 CAD price is the 50% launch price presented for the first 100 implementations, subject to availability. Applicable tax is additional.
Customer responsibilities
Customer responsibilities include choosing the appropriate Google Workspace owner, maintaining lawful access to Google and other third-party accounts, providing accurate and appropriately authorized data, reviewing field mappings, protecting credentials, approving business decisions, testing or accepting the agreed workflow, managing users after handoff and maintaining backups appropriate to the business.
You must not provide data you are not authorized to use or instruct Bifro to process. You remain responsible for the legality, accuracy and business consequences of Customer data and generated packing slips.
Customer-owned deployment and third-party services
The standard application is designed to run from the Customer's Google Workspace and Google Sheet. Google, Stripe, Vercel and other third-party services are governed by their own terms, availability and technical limits. Bifro does not control those services and cannot promise that a third party will never change or discontinue a feature.
Licence and intellectual property
Source files identified as open source are provided under the applicable repository licence, including the MIT License where stated. That licence governs the covered source. Bifro retains rights in its trademarks, branding, commercial documentation, paid guide, delivery materials and services except where a separate licence expressly says otherwise. Purchasing one copy does not grant a right to resell, republish or distribute paid materials.
Payments, taxes and delivery
Payments are processed through Stripe. Prices are in Canadian dollars unless stated otherwise. Customer is responsible for applicable taxes and accurate billing information. Digital delivery and implementation scheduling begin after successful payment and receipt of required information. The checkout email controls automated access to purchased materials. A private access link may expire, but the buyer may request a fresh link using the same checkout email.
After a qualifying Guide or Vault purchase, Bifro may present one post-purchase offer for the next higher tier at 25% off. The offer is available for 24 hours from the qualifying purchase and is applied through Stripe to that higher-tier transaction. The original purchase and the higher-tier purchase are separate charges; the original payment is not automatically credited against the higher-tier price. Any refund or cancellation right stated at checkout or required by applicable law continues to apply; contact info@bifro.ca before purchase if the scope is unclear.
Support and optional Bifro Care
Support applies only to the offer, period and issue type expressly stated. A support window begins on delivery or handoff unless the written order says otherwise. Support does not include custom development, third-party outages, Customer-caused changes, new requirements, data cleanup or ongoing operations unless separately agreed.
Bifro Care is an optional recurring service for customer-authorized updates, training and continuity work described at purchase. Cancelling Bifro Care ends future recurring service and charges but does not intentionally disable the Customer's installed standard application.
Acceptable use
You may not use the website, demo, materials or services to break the law, infringe rights, introduce malicious code, probe or disrupt systems, bypass access controls, misrepresent affiliation, or use demo placeholders as commercial records. The public demo is an experience preview, not a production data system.
Warranty and service changes
Bifro will perform paid services with reasonable care and skill. Except for express written commitments and rights that cannot legally be excluded, the website, demo, open-source code and digital materials are provided “as is” and “as available”. Software can contain defects, and business workflows require Customer review and testing.
Limitation of liability
To the maximum extent permitted by applicable law, Bifro Tech Inc. is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost revenue, lost data, business interruption or third-party service failures arising from the website, products or services. To the same extent, Bifro's aggregate liability for a claim is limited to the amount Customer paid Bifro for the offer giving rise to that claim during the 12 months before the event. Nothing in these Terms limits liability or rights that cannot lawfully be limited.
Changes, termination and governing law
We may update these Terms for future use or purchases. Material changes will be identified by a new effective date. Terms accepted for an existing paid order continue to govern that order unless both parties agree otherwise or law requires a change. We may suspend access to Bifro-hosted services for unlawful use, security risk or material breach; this does not create a remote right to disable a Customer-controlled standard deployment.
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Ontario have jurisdiction, except where applicable law requires another forum.
